1. Acceptance of Terms

Welcome to the website of the Autheo Foundation ("Foundation," "we," "us," or "our"), a Wyoming nonprofit 501(c)(3) organization. These Terms of Service ("Terms") govern your access to and use of our website at autheofoundation.org (the "Site") and any related services, programs, events, or communications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction (whichever is greater) to use our Services. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities in connection with your use of the Services:

  • Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time using a conventional web browser.
  • Interfere with, disrupt, or create an undue burden on the Services, servers, or networks connected to the Services, or violate the regulations, policies, or procedures of such networks.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology used to provide the Services, except to the extent expressly permitted by applicable law.
  • Probe, scan, or test the vulnerability of the Services or any system or network connected to the Services, or breach or circumvent any security or authentication measures.
  • Use the Services for any illegal purpose, or in violation of any applicable local, state, national, or international law or regulation.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Collect or store personal data about other users of the Services without their express consent.
  • Use the Services to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
  • Use the Services to harass, abuse, stalk, threaten, defame, or otherwise infringe or violate the rights of any other party.

5. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, and underlying code — are the property of the Autheo Foundation or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without the prior written consent of the Autheo Foundation, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

6. Open Source

The Autheo protocol, network software, and associated developer tools are open-source software released under the MIT License and/or the Apache License 2.0. The use of such open-source code is governed solely by the terms of the applicable open-source license(s), not by these Terms.

These Terms apply to the Site and Services only. The website content, design, layout, visual identity, branding, trademarks, logos, and all non-code materials remain the proprietary property of the Autheo Foundation and are not licensed under any open-source license. The "Autheo" name, the Autheo Foundation logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Autheo Foundation. You may not use such marks without our prior written permission.

7. User Submissions

Any content, feedback, suggestions, ideas, grant proposals, forum posts, or other materials that you submit to the Foundation through the Services ("User Submissions") will be treated as non-confidential and non-proprietary. By submitting User Submissions, you grant the Autheo Foundation a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Submissions in any media or medium, whether now known or hereafter developed, for any purpose.

You represent and warrant that you own or otherwise control all rights to your User Submissions, that the User Submissions are accurate, and that use of the User Submissions does not violate these Terms or any applicable law and will not cause injury to any person or entity.

8. Third-Party Links

The Services may contain links to third-party websites, applications, or resources ("Third-Party Links"). These Third-Party Links are provided for your convenience only. We do not endorse, and are not responsible or liable for, the content, products, or services on or available from such third-party websites or resources. You access Third-Party Links at your own risk and subject to the terms and conditions and privacy policies of those third-party websites.

9. Communications

By using the Services or providing your email address to us, you consent to receive electronic communications from the Autheo Foundation, including newsletters, event invitations, program updates, and administrative messages. You may opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email or by contacting us at legal@autheofoundation.org. Please note that opting out of marketing communications does not affect our ability to send you transactional or administrative communications related to your use of the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHEO FOUNDATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE AUTHEO FOUNDATION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE INFORMATION PROVIDED THROUGH THE SERVICES IS ACCURATE, RELIABLE, OR COMPLETE; OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE AUTHEO FOUNDATION OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AUTHEO FOUNDATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, VOLUNTEERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  • ANY CONTENT OBTAINED FROM THE SERVICES; OR
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE AUTHEO FOUNDATION FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100.00) OR THE AMOUNT YOU PAID TO THE FOUNDATION, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Autheo Foundation, its directors, officers, employees, agents, volunteers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorneys' fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or (d) any claim that your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Wyoming, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the seat of arbitration shall be in the State of Wyoming. The language of the arbitration shall be English.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs of arbitration, and the fees of the arbitrator shall be shared equally, unless the arbitrator determines that a different allocation is appropriate.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Autheo Foundation.

15. Modifications

The Autheo Foundation reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. The "Last Updated" date at the top of these Terms indicates when they were last revised. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.

16. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by the Foundation on the Services, constitute the entire agreement between you and the Autheo Foundation regarding the use of the Services, superseding any prior agreements between you and the Foundation relating to the subject matter hereof. Any failure by the Foundation to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
